You were perfectly within your rights, so long as you did indeed tell the recruiter that you were seeking other opportunities. Also, since you did not sign anything, you have no legal responsibility to the recruiter or the company. Furthermore, if the project was that important, then the company/recruiter should have been more aggressively seeking you.
I'm not sure what the best response would be. Silence might just be golden in this case so that you don't burn any bridges. Perhaps you could suggest a compromise, if the second company is indeed in dire straits...suggest that you freelance, spending about 20 hours a week "helping" to organize the project.
This way, you're part of the solution (good ol' management term).
