Well, I'm not an expert (that's why I was looking for tips ;). Didn't get
any tips, but have gone ahead and submitted my version to the customer and
will see what happens.

As I understand it, a Letter of Intent or Letter of Agreement is used in
place of an extensive, formal contract when the deal is straightforward and
simple. Both parties sign a one or two page statement covering the basics of
the agreement: project scope and description, cost and payment terms,
schedule, etc. I also added basic statements covering assurance of
confidentuality, ownership of materials produced, liability, etc.

IOW, it's a contract without most of the legalese.
