Kevin, if you can successfully convey to your management what a huge job this is going to be, you may be able to convince them to review the documents ruthlessly, and cut out any information that needs to be replaced anyway.

In other words, when they understand the huge amount of time it's going to take to regularize sloppy Word files, they may recognize a need to cut out all outdated info from the docs *before* you have to tackle them. The size of your job may be reduced considerably as a result. There's no value in painstakingly converting obsolete info!

Otherwise, take your time estimating what the project will require. Don't lowball your effort. If management gasps in dismay, well, then they may want to revisit their decision. If they still want the project, you'll emerge a highly-desirable XML guru, lucky you!
