I do have to add two more bits:

First, if the downsizing was due to a screw-up, and if the new direction
looks solid, I say go for it. Sounds like they kept you there as long as the
books would allow. That's something to note; they obviously wanted you
around.

Second, a clarification on my part. The company I wouldn't go back to was a
complete and total insane asylum of a company. Bad decisions by senior
management caused the downfall, and seeing as they never listened to those
with actual feasible ideas, they tanked. The ones who tanked the company are
still there. All the solid contributors to something meaningful are long
gone. The other company tanked as a result of being acquired by a rich,
brainless lot. They were too busy buying $800 shoes and flying around in
their private jet to realize that software companies have to burn cash to
make cash, and that profits are not astronomical. So now the original owner,
who made the company successful in the first place, is back in charge,
they're out from under the idiots' armpits, and are slowly steering back
toward profitability.
